Terms of Service

Effective date: July 15, 2026

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website, services, and fleet management programs operated by Robo-X, Inc. ("Robo-X," "we," "us"). By accessing robo-x.co or enrolling a vehicle in the Robo-X fleet program, you agree to be bound by these Terms.

2. Fleet Management Services

Robo-X provides operational fleet management services for qualifying autonomous vehicles, including dispatch, charging, cleaning, maintenance coordination, insurance administration, and rider support. Vehicle owners retain title to their vehicles. Robo-X acts as operator and manager, not as owner, of enrolled vehicles.

3. Management Fee & Distributions

Robo-X retains a management fee of between ten percent (10%) and fifteen percent (15%) of net ride revenue attributable to an enrolled vehicle, as specified in the owner's Fleet Enrollment Agreement. Remaining net revenue is distributed to the vehicle owner on the schedule set out in that agreement. Distributions depend on vehicle utilization, market conditions, and operating costs, and are not guaranteed.

4. No Earnings Promises; Estimates

Robo-X makes no promise, commitment, or guarantee of any earnings, profit, distribution amount, return on investment, or vehicle utilization level. Any earnings figures, ranges, or projections presented on this website, in marketing materials, or in conversations with Robo-X representatives — including estimates derived from third-party analyst research — are illustrative only, are based on assumptions that may prove incorrect, and may change at any time without notice. Actual results will vary and may be zero. You should not purchase a vehicle or enroll in the fleet program in reliance on any estimate.

5. Owner & Investor Communications

While we do not guarantee outcomes, we are committed to keeping riders, owners, and prospective investors informed to the best of our ability. Robo-X will use commercially reasonable efforts to provide enrolled owners with regular reporting on vehicle activity, revenue, fees, and distributions, and to communicate material changes to fleet operations, estimated economics, market availability, and regulatory status as they occur. Informational updates are provided in good faith, may be revised as conditions change, and do not amend any Fleet Enrollment Agreement or create any warranty.

6. Owner Responsibilities

Owners must provide accurate enrollment information, maintain lawful title to their vehicle, and comply with applicable vehicle registration and tax obligations. Owners may not interfere with vehicle operations, software, or telemetry while a vehicle is enrolled in the fleet.

7. Service Availability

Autonomous ride-share operations are subject to regulatory approval in each market. Robo-X may suspend or relocate vehicle deployments to comply with law, ensure safety, or optimize network performance.

8. Disclaimers

The services are provided "as is" without warranties of any kind, express or implied. Nothing on this website constitutes financial, investment, tax, or legal advice, and nothing herein is an offer to sell or a solicitation to buy securities. Past or projected performance does not guarantee future results.

9. Limitation of Liability

To the maximum extent permitted by law, Robo-X's aggregate liability arising out of or relating to these Terms will not exceed the management fees actually received by Robo-X for the affected vehicle in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate a Fleet Enrollment Agreement in accordance with its terms. Robo-X may suspend services immediately for safety issues, legal requirements, or material breach.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Venue for disputes lies in Los Angeles County, California.

Privacy Policy

1. Information We Collect

We collect information you provide directly (name, email, phone number, investment interests submitted through our forms), information collected automatically (device type, browser, pages visited, approximate location derived from IP address), and — for enrolled vehicles and riders — operational telemetry including vehicle location, trip routes, and usage data necessary to operate the fleet.

2. Location Tracking

Enrolled fleet vehicles transmit continuous location and diagnostic telemetry as an essential part of autonomous operations, dispatch, and safety monitoring. Rider pickup and drop-off locations are processed to deliver rides and improve service coverage. Location data is retained only as long as needed for operations, safety investigations, and legal compliance.

3. Investor Information

Information submitted by prospective or current vehicle owners — including contact details, accreditation status, and transaction history — is handled with heightened safeguards, used solely for investor relations, onboarding, distributions, and compliance, and is never sold to third parties.

4. How We Use Information

We use collected information to operate and improve the fleet and this website, process inquiries and enrollments, calculate and distribute owner earnings, meet safety and regulatory obligations, and send communications you have requested. We do not sell personal information.

5. Sharing

We share information only with service providers under contract (e.g., payment processors, insurance partners, cloud infrastructure), with regulators and authorities where required by law, and in connection with corporate transactions subject to equivalent protections.

6. Security

We employ administrative, technical, and physical safeguards appropriate to the sensitivity of the data, including encryption in transit and at rest for investor records and vehicle telemetry.

7. Your Rights

Depending on your jurisdiction (including rights under the California Consumer Privacy Act), you may request access to, correction of, or deletion of your personal information, and may opt out of marketing communications at any time by contacting Hello@robo-x.co.

8. Changes

We may update this policy from time to time. Material changes will be posted on this page with a revised effective date.
